Please read these Terms and Conditions carefully and in their entirety before using  mspire.co.uk (hereinafter referred to as the “Site”). The Site and its content are owned by Mai Mspire


PURPOSE: The objective of these Terms & Conditions is to provide clear clarification, delineation, and articulation of the regulations, provisions, and prerequisites for utilizing, accessing, and/or navigating the Site. This also encompasses acquiring or downloading any courses, programs, services, or products provided on or via our platform or the Site.

Included in these Terms & Conditions is an Arbitration Clause, which mandates that any claims with us must be settled through Arbitration. By accepting these Terms & Conditions, you also accept the Arbitration Clause outlined in Paragraph No. 18 and willingly relinquish your right to a jury trial.

This spans blog posts, graphics, newsletters, designs, documents, information, templates, and other materials.


"Personal Information" refers to data that, independently or combined with other information, can identify, contact, or locate an individual, or determine their identity within a given context. Examples include name, address, email, phone number, and home address.


"Site, Courses, Services, and/or Products" collectively denote mspire.co.uk, the Content (as defined above), email lists/newsletters, social media and blog posts, courses, coaching services, guides, eBooks, forms, worksheets, workbooks, webinars, website materials, and templates accessible on the Site. 


“Site” means  mspire.co.uk and any and all of its associated pages, tabs, landing pages, forms, or sub-pages.
“You” or “Your” means the user, customer, or viewer of the Site.

Using the Site and/or initiating any Purchase signifies your implicit and voluntary commitment to adhere to these Terms & Conditions, along with our Privacy Policy and Disclaimer.


When utilizing the Site and/or making any Purchase, you affirm and guarantee that you are a minimum of 18 years old. Unauthorized access to or use of the Site and its Content by individuals below the age of 18 goes against these Terms & Conditions and our Privacy Policy.

It's important to note that we do not hold qualifications as therapists, or licensed medical practitioners. Thus, prior to adopting any changes or practices recommended by us, it's crucial to consult and obtain approval from your physician. This applies to alterations in your lifestyle, dietary choices, exercise routine, or medical treatment. Prior to implementing any adjustments, additions, or modifications suggested or presented by us, you must engage in a discussion with your physician or qualified medical expert regarding changes to your diet, exercise, supplements, medications, or overall way of life. Our Content serves a purpose of imparting information and education and is based on our personal experiences.

By using this Site, or Purchasing or Downloading from our Site, Courses, Services, and/or Products, you implicitly and voluntarily agree to these Terms & Conditions as stated herein.

While engaging with the Site, Courses, Services, and/or Products through use, Purchase, or Download, it's important to acknowledge that you are prohibited from distributing, copying, forwarding, and/or sharing any information restricted by these Terms & Conditions. Additionally, you are responsible for taking necessary precautions to prevent unintentional sharing or distribution of such materials. This includes safeguarding your Site access password (if applicable) for accessing your Purchase or Download.


Any breaches of these Terms & Conditions will be pursued legally to the maximum extent permitted by law.

Since the Site and its Content do not belong to you, it is prohibited to suggest or imply that you have any ownership, creation, influence, or contribution to the Site or its Content. Additionally, making claims of association with Mai Mspire in any way is not permitted.

All the testimonials, statements, or examples provided by us, whether from current or past clients, are intended as illustrations. They should not be regarded as assurances that you will attain similar outcomes or experiences. Each client's situation is distinct, and no implication should be made that you will achieve identical results to any other client of ours.

We do not provide any form of warranties, whether express or implied, pertaining to the Site, Courses, Services, and/or Products, or your Purchase or Download in any manner. 15. Your Release of Us:
Upon using the Site or engaging in the Purchase, Download, or utilization of Mai Mspire Courses, Memberships, Services, and Products, you consent to releasing, pardoning, and perpetually absolving Mai Mspire, along with its subsidiaries, employees, agents, contractors, subcontractors, and affiliates, from any and all claims, suits, actions, charges, demands, liabilities, damages, judgments, and/or costs — regardless of whether these are recognized or concealed, encompassing both legal and equitable aspects, in any form or manner.


16. Errors & Omissions:
While we strive to offer current and precise information on the Site and through our services, it's important to note that the topics we address are intricate. As a result, Mai Mspire cannot guarantee that the information is always error-free, accurate, or current. Therefore, we do not make any warranties, representations, or guarantees regarding the accuracy or timeliness of such information.

17. Our Refund Policy:
We are committed to ensuring your satisfaction to the best of our abilities and within reasonable bounds. Given the downloadable nature of the Membership, refunds will not be granted once the purchase has been made. 18. ARBITRATION CLAUSE:
If you encounter any complaints or encounter issues while using the Membership, please initiate direct contact with us first by emailing Mai at mai@mspire.co.uk.


In the event that we are unable to reach a satisfactory resolution through this communication, you acknowledge that both you and Mai and Mai Mspire will seek resolution through binding arbitration via the Chartered Institute of Arbitrators (CIArb). This Chartered Institute will be conducted before a mutually agreed-upon arbitrator in accordance with the rules of the Chartered Institute of Arbitrators (CIArb). 


By agreeing to this provision, you hereby understand and accept that you are relinquishing your right to a trial by jury in a court, a right that would otherwise be accessible were it not for this Arbitration Clause. If an arbitration hearing becomes necessary, it will be held within 50 miles of London, United Kingdom.


In the event that an arbitrator's award is granted and a judgment is issued, this judgment will be binding and will be recorded in court in Greater London. The sole form of award that can be issued to you is a refund of any payment made to Mai Mspire for the relevant Membership. You are precluded from seeking additional damages, including consequential or punitive damages. 

19. Consent to Governing Law:
These Terms & Conditions, and any dispute arising out of it, shall be governed by the laws of the United Kingdom.


20. Consent to Jurisdiction:
By accepting these terms, you provide irrevocable consent to the sole jurisdiction and venue of any Court in the United Kingdom concerning any issue that arises from these Terms & Conditions, Privacy Policy, Disclaimer, or is associated with your utilization, Download, or Purchase from the Site, Courses, Services, and/or Products.


21. Consent to Service:
By accepting these terms, you unequivocally consent to the possibility of legal proceedings being initiated against you through any means permitted by the Laws of the United Kingdom applicable to individuals in such cases. Moreover, you renounce any potential objection that you might have otherwise raised in relation to the service of legal proceedings as stipulated by the laws of the United Kingdom. 


22. Payment & Purchases:
When you choose to Purchase or Download any of our Courses, Services, or Products through us or the Site, payment can be made using PayPal or Stripe. By doing so, you grant Mai Mspire authorization to automatically charge your credit card for payment purposes. Upon completing your Purchase.


If you opt for the instalment or "pay over time" option during checkout, you acknowledge that Mai Mspire is authorized to automatically charge the agreed-upon amount on the specified date(s), without seeking your approval before each instalment transaction.


In cases where your payment method encounters issues or is declined, access to our Courses, Services, and Products may be terminated or cancelled. It's important to note that if your payment method fails, you remain accountable for the complete cost of your Purchase.


We do not entertain any threats of chargebacks, whether real or threatened. In the event that a chargeback is initiated against a Purchase or Download of our Courses, Services, or Products, we will report the incident to major credit reporting agencies. This action could adversely affect your credit report and/or credit score. Should this scenario arise and you wish to remove the report from your credit history, please contact us to arrange for the outstanding payment. Once the owed payment is received, appropriate reports will be submitted to credit agencies.


Different payment processing companies might have distinct privacy policies and practices compared to ours. We are not responsible for the policies of these payment processing companies. As is the case with any online transaction, unforeseen circumstances beyond our control might compromise your credit card or payment method. We disclaim liability or responsibility for any such circumstances.


By participating in a Purchase or utilizing our payment processing companies, you release us from any and all damages linked to your payment. Furthermore, you agree not to assert any claims against us or the payment processing companies for damages resulting from your Purchase or use of our Site and its Content.


23. Limitation of Liability:
Mai Mspire bears no responsibility or liability for any damages, whether direct or indirect, that you may encounter as a result of utilizing, Purchasing, or Downloading from our Site, Courses, Services, and/or Products. We do not accept liability for damages, injuries, harm, or even loss of life, arising from the misapplication or failure to correctly use information or materials, due to any actions or omissions on your part. UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.


24. Defense & Indemnification
You are obligated to consistently indemnify, defend, and shield Mai Mspire, Mai, as well as all our shareholders, officers, members, affiliates, contractors, subcontractors, directors, assignees, employees, and licensees from any and all losses, damages, injuries, delays, fatalities, lost profits, and expenses arising from (a) actions filed by a third party or by Mai Mspire and Mai (b) stemming from your infringement of your commitments, assertions, warranties, or undertakings under these Terms & Conditions or the Privacy Policy; and (c) emanating from any alleged breach or purported negligence attributed to us.


25. Termination of Your Use
We reserve the right, solely at our discretion, to cease your use or access to the Site, Courses, Services, and/or Products, as well as Purchases/Downloads, in the event of your misuse, violation, or breach of any of these Terms & Conditions, the Privacy Policy, Disclaimer, or any other agreed-upon terms. 


26. Entire Agreement
These Terms & Conditions, in conjunction with our Privacy Policy and Disclaimer, collectively establish the comprehensive understanding between you and us regarding the Site, Courses, Services, and/or Products. They take precedence over any previous or concurrent communications and proposals, regardless of whether they were conveyed electronically, verbally, or in writing, concerning the Site, Courses, Services, and/or Products. 


27. Severability
The clauses within these Terms of Use will be considered individually valid, and if any provision is found to be invalid or unenforceable, it will not impact the validity and enforceability of the other provisions. Should any section, subsection, sentence, or clause of these Terms of Use be determined to be illegal, invalid, or unenforceable, such a determination will not influence the overall validity of the entire Terms of Use, nor will it affect any other section, subsection, sentence, or clause that has not been explicitly deemed as such.
